Job description

DEPARTMENT PURPOSE

We are looking for a highly motivated Associate to join the Mergers & Acquisitions (M&A) team in our Corporate Practice Group. The role is based in Jakarta, may involve travel to client sites, and gives you the chance to work on complex, high-profile corporate transactions as part of a market-leading global platform.
  • Advise domestic and international clients on public and private M&A, joint ventures, corporate restructurings, and strategic investments.
  • Give first-class legal advice on cross-border matters, working seamlessly across practice groups and jurisdictions.
  • Develop commercially pragmatic solutions that balance transaction risk, regulatory requirements, and execution certainty in corporate transactions.
ROLE PURPOSE
  • Manage live M&A and corporate transactions, including drafting and negotiating key transaction documents such as share purchase agreements, asset purchase agreements, shareholders' agreements, and joint venture agreements.
  • Support M&A deals from start to finish, covering deal structuring, due diligence, documentation, negotiation, signing, and closing.
  • Work closely with partners and senior lawyers to manage workstreams, coordinate stakeholders, and meet deadlines on demanding transaction timelines.
  • Act as a key day-to-day contact for clients, counterparties, and their advisers, keeping communication clear and quality consistent.
ROLE & RESPONSIBILITIES
  • Conduct and supervise legal due diligence on target companies and businesses, synthesize the findings, and prepare high-quality due diligence reports and risk matrices with actionable recommendations.
  • Coordinate inputs from multiple jurisdictions and functions, working closely with specialists in other practice groups (including finance, competition, tax, employment, and regulatory), local counsel, and client deal teams to drive execution.
  • Advise on the corporate and regulatory framework that applies to M&A in Indonesia, including company law, foreign investment restrictions, capital markets and takeover rules, merger control filings, and sector-specific approvals, and find practical solutions to regulatory and approval issues.
  • Prepare and review corporate documentation, including board and shareholder resolutions, corporate approvals, and ancillary transaction documents.
  • Keep matter management rigorous, including transaction timetables, conditions precedent and closing checklists, document control, signing and closing processes, and post-closing deliverables.
  • Contribute to client-facing deliverables, presentations, and know-how, showing strong commercial awareness and an understanding of M&A market practice.
