Senior Corporate Governance Specialist
Role Purpose
We are currently looking for a Senior Corporate Governance Specialist to join our Boards by A&O Shearman team in Luxembourg on a permanent basis. You will act as a senior operational anchor for the team, taking ownership of complex, document-heavy corporate secretarial work and supporting the ongoing development of our more junior colleagues.
This is an execution-driven role for an experienced corporate governance professional who takes pride in getting the detail right. You will be the team's point of reference for day-to-day corporate housekeeping across our client entities, drawing on deep, hands-on experience of the full cosec lifecycle, including transactional matters, to ensure that documentation, filings and records are prepared to a consistently high standard.
Role and responsibilities
You will prepare and review the full range of standard corporate secretarial documentation, including notices, resolutions, minutes and similar corporate documents, ensuring accuracy and consistency with applicable legal and procedural requirements.
You will prepare loan documentation and other transactional corporate documents in support of client transactions.
You will manage and oversee RCS (Registre de Commerce et des Sociétés) filings, acting as a point of reference for the team on filing requirements and practice.
You will organise and coordinate board and shareholder meetings, including agendas, meeting packs, minutes and follow-up actions, and will support the preparation of shareholder resolutions where required.
You will ensure compliance with agreed corporate governance standards and applicable legal and regulatory requirements.
In combination with relevant A&O Shearman teams, you will advise the board on corporate governance best practices.
You will review and quality-check work prepared by more junior team members, providing practical guidance and on-the-job training.
You will support the team's adoption of new technology tools and process improvements, contributing ideas for streamlining documentation and filing workflows.
Key requirements
You have significant relevant experience (at least 5 years or more) in a company secretarial/corporate governance role, ideally within a service provider, law firm or similar environment, covering both day-to-day cosec work and transactional matters.
You have strong, demonstrable experience preparing core corporate secretarial documents (e.g. loan documentation, notices and similar corporate documents) and practical experience with RCS filings.
You hold an ILA (Institut Luxembourgeois des Administrateurs) certification in company secretarial and governance practice, or an equivalent professional qualification.
You are highly detail-oriented, diligent and well organised, with a strong preference for and aptitude in back-office work – organisation, documentation and preparation of materials.
You are fluent in both written and spoken English; French and/or German language skills are an advantage.
You are genuinely curious about the corporate governance processes and keen to deepen your understanding of the underlying legal and best-practice rationale, not just the procedural steps.
You are comfortable mentoring and supporting more junior colleagues and enjoy contributing to a positive, collaborative team culture.
You are computer literate, with strong Microsoft Office skills and familiarity with board management or corporate administration software; you are enthusiastic about learning and adopting new technology tools.
You are known for a high level of integrity, professionalism and ethical standards.
