We are looking for a highly motivated Mid Associate with 5–7+ years of post-qualification experience to join the Mergers & Acquisitions (M&A) team in our Corporate Practice Group. The role is based in Jakarta, may involve travel to client sites, and offers the opportunity to lead complex, high-profile corporate transactions with significant day-to-day autonomy as part of a market-leading global platform.
Lead day-to-day advice to domestic and international clients on public and private M&A, joint ventures, corporate restructurings, and strategic investments.
Take primary responsibility for delivering first-class legal advice on cross-border matters, working seamlessly across practice groups and jurisdictions.
Develop and implement commercially pragmatic solutions that balance transaction risk, regulatory requirements, and execution certainty in corporate transactions.
ROLE PURPOSE
Lead live M&A and corporate transactions day to day, including drafting, reviewing, and negotiating key transaction documents such as share purchase agreements, asset purchase agreements, shareholders' agreements, and joint venture agreements.
Take matters from start to finish with significant autonomy, covering deal structuring, due diligence, documentation, negotiation, signing, closing, and post-closing implementation.
Work closely with partners and senior lawyers on strategy and escalation points while independently managing workstreams, coordinating stakeholders, and meeting demanding transaction timelines.
Serve as the primary day-to-day contact for clients, counterparties, and their advisers, providing clear updates, managing expectations, and maintaining consistent quality.
ROLE & RESPONSIBILITIES
Lead and supervise legal due diligence on target companies and businesses, synthesize the findings, and prepare or review high-quality due diligence reports and risk matrices with actionable recommendations.
Coordinate inputs from multiple jurisdictions and functions, working closely with specialists in other practice groups, local counsel, and client deal teams to drive execution and resolve issues efficiently.
Advise on the corporate and regulatory framework that applies to M&A in Indonesia, including company law, foreign investment restrictions, capital markets and takeover rules, merger control filings, and sector-specific approvals, and lead practical solutions to regulatory and approval issues.
Prepare, review, and supervise the preparation of corporate documentation, including board and shareholder resolutions, corporate approvals, and ancillary transaction documents.
Own matter management, including transaction timetables, conditions precedent and closing checklists, document control, signing and closing processes, and post-closing deliverables.
Lead client-facing deliverables and presentations, contribute to business development initiatives and pitches, and develop practical know-how that strengthens the team’s capability and market profile.
Supervise, mentor, and develop junior associates and trainees, including allocating work, reviewing outputs, and providing clear, constructive feedback.
QUALIFICATIONS AND KEY REQUIREMENTS
5–7+ years’ post-qualification experience as a corporate lawyer at a leading law firm, with substantial experience leading M&A transactions and managing client workstreams.
Demonstrated experience leading public and/or private M&A, joint ventures, and corporate restructurings, preferably including cross-border transactions.
Strong project and matter management skills, with the ability to run workstreams independently and deliver effectively in fast-paced, cross-border deal environments.
Excellent drafting, review, and negotiation skills in English and Bahasa Indonesia, with meticulous attention to detail and sound commercial judgment.
Ability to work on-site in Jakarta and travel to client locations as needed.
Ability to build and maintain strong working relationships with clients, counterparties, advisers, internal teams, and external stakeholders so matters run efficiently.
Proven ability to supervise, mentor, and develop junior associates and trainees, including reviewing their work and providing constructive, actionable feedback.
Strong academic credentials, Indonesian bar qualification preferred, and a demonstrated commitment to business development and sharing practical know-how.
Application will be open until 13 November 2026.
