DEPARTMENT PURPOSE

We are looking for a highly motivated Junior Associate with 3–4 years of post-qualification experience to join the Mergers & Acquisitions (M&A) team in our Corporate Practice Group. The role is based in Jakarta, may involve travel to client sites, and offers the opportunity to work on complex, high-profile corporate transactions as part of a market-leading global platform, with substantive responsibility under the supervision of senior associates and partners.

  • Support senior associates and partners in advising domestic and international clients on public and private M&A, joint ventures, corporate restructurings, and strategic investments.

  • Undertake legal research and contribute to clear, practical advice on cross-border matters, working seamlessly across practice groups and jurisdictions.

  • Apply sound legal and commercial judgment to assigned workstreams, helping develop solutions that balance transaction risk, regulatory requirements, and execution certainty.

ROLE PURPOSE

  • Take responsibility for defined workstreams on live M&A and corporate transactions, drafting and reviewing key transaction documents such as share purchase agreements, asset purchase agreements, shareholders' agreements, and joint venture agreements under the supervision of senior associates and partners.

  • Support M&A deals from start to finish, contributing to deal structuring, due diligence, documentation, negotiation, signing, and closing.

  • Work closely with senior associates and partners to manage assigned workstreams, coordinate stakeholders, and meet deadlines on demanding transaction timelines.

  • Maintain regular contact with clients, counterparties, and their advisers on assigned matters, participate in calls and meetings as appropriate, and escalate issues promptly to senior lawyers.

ROLE & RESPONSIBILITIES

  • Conduct legal due diligence on target companies and businesses, synthesize the findings, and prepare draft due diligence reports and risk matrices with practical recommendations for review by senior lawyers.

  • Coordinate inputs from multiple jurisdictions and functions, working with specialists in other practice groups, local counsel, and client deal teams under the guidance of senior associates and partners to support execution.

  • Research and assist with analysis of the corporate and regulatory framework applicable to M&A in Indonesia, including company law, foreign investment restrictions, capital markets and takeover rules, merger control filings, and sector-specific approvals.

  • Draft, review, and update corporate documentation, including board and shareholder resolutions, corporate approvals, and ancillary transaction documents, under appropriate supervision.

  • Maintain rigorous matter management for assigned workstreams, including transaction timetables, conditions precedent and closing checklists, document control, signing and closing processes, and post-closing deliverables.

  • Contribute to client-facing deliverables, presentations, and know-how, demonstrate strong commercial awareness and an understanding of M&A market practice, and provide informal day-to-day support to junior team members.

KEY QUALIFICATIONS & REQUIREMENTS

  • 3–4 years of post-qualification experience as a corporate lawyer at a leading law firm, with meaningful exposure to M&A transactions.

  • Experience supporting public and/or private M&A, joint ventures, and corporate restructurings, preferably including cross-border transactions.

  • Ability to manage defined workstreams, organize priorities, and work effectively in fast-paced, cross-border deal environments with guidance from senior lawyers.

  • Strong drafting, legal research, and analytical skills in English and Bahasa Indonesia, with meticulous attention to detail.

  • Ability to work on-site in Jakarta and travel to client locations as needed.

  • Ability to build and maintain effective working relationships with clients, internal teams, counterparties, local counsel, and other external stakeholders.

  • Collaborative and supportive working style, with a willingness to share knowledge and provide informal guidance to junior team members.

  • Strong academic credentials; Indonesian bar qualification preferred.

  • Application will be open until 13 November 2026.
